Our Client is a leading UK VC fund manager with a notable reputation within its niche.  The firm’s wholly owned Lux Manco was established in 2015 and is allocated the full oversight of its two Lux domiciled funds totally c.1bn USD.

An opportunity has arisen for a talented Compliance professional to join the conducting team. This is a highly visible mandate, in a highly meritocratic firm. High-energy, a natural sense of proactivity and dependability are highly regarded characteristics sought.

CONTEXT:

You will take day-to-day responsibility for all compliance issues affecting the management of the Lux ManCo, and the two funds under management. Ensuring that the ManCo complies with legal and regulatory requirements and its internal policies.  You will be required to keep abreast of any legislative and regulatory developments affecting the ManCo and the funds it manages.  You will also be required to monitor investment risk and liquidity management in accordance with regulatory requirements

You will be in charge as a representative of the company and its shareholders towards the supervisory authorities (CSSF) and external advisors in Luxembourg for AML, Compliance and Risk related issues. The incumbent will work closely with stakeholders across Europe and UK. You will be reporting directly to the Board and the group’s head of legal in on these issues.

In addition, you will be assisting the group’s head of legal on other legal issues and process as may be relevant to the group.  You will be reporting directly to head of legal on these issues. In the mid to long term, this mandate will be integral in managing the transition of the Company to a fully licensed AIFM including.

The incumbent will be able to develop a close corporation the executive directors of the London portfolio manager and the other conducting officer/s of the ManCo in Lux.

THE ROLE:

Compliance:

  • Manage and develop ManCo’s compliance and compliance monitoring programs;
  • Ensure that the ManCo’s (and group’s) policies and compliance manuals are regularly updated, fully in line with all legal and regulatory requirements;
  • Maintain the ManCo’s on-going relationship with the regulator and be the ManCo’s main point of contact in its relationship with a regulator on AML, Compliance and Risk related issues; take responsibility for CSSF filings and general liaising with the CSSF on compliance and AML topics (including first drafts of responses to any CSSF’s query); make sure that the Board and Head of Legal is timely notified of any communication with CSSF;
  • Support and guide the Board regarding application of the relevant laws and regulations to the ManCo and the funds it manages;
  • Take responsibility for the effective management of day-to-day compliance activities, monitoring and reporting, perform compliance program within the relevant time frame (including carrying out testing where appropriate) and with the necessary level of details;
  • monitor and review of CSSF policy/consultation documents and other regulatory developments;
  • Ensure that staff have a clear understanding of the rules that apply to them and their work and the importance of complying with them; develop training programs for Luxembourg based staff;
  • Assist the team with carrying out anti-money laundering checks and KYC requests
  • Regulatory reporting (including annual AML/CFT reporting).

Risk Management:

  • Monitor investment risk and liquidity management in accordance with regulatory requirements;
  • Review and assess the risk methodology and subsequent production of reports;
  • Generate and review the regular risk reports produced; investigate any breaches identified and escalate where required;
  • Produce quarterly risk reports to be reviewed and acknowledged by the Board during the quarterly meetings;

Other:

Support to the Board:

  • Prepare materials for the quarterly Board meetings; work with other members of the team to ensure that the materials are prepared on time; make sure that the agenda and the materials have been circulated on time; Prepare draft minutes of the meeting/ organise the meetings hosted in Luxembourg;

Assistance with the On-Going Fundraise and setting up of Funds:

  • Assist Head of Legal with setting up legal structures for new funds launches; marketing in the relevant jurisdictions; preparing and populating the virtual due diligence room with the relevant materials requested by the investors.

THE PROFILE:

  • You will be within a management function within the funds industry focused on compliance and risk matters;
  • Having been registered as Conducting Officer with CSSF is advantageous;
  • A legal degree/background or experience is preferrable – although a finance background is also conceivable;
  • Strong knowledge and experience of the European regulatory environment, with specific expertise on Luxembourg matters, for the investment fund business as well as global anti-money laundering and counter-terrorist financing requirements;
