Greenfield is proud to collaborate with our client; a leading commercial Real Estate company in their search for a legal and Corporate officer for a 15 months contract. The company has warehouses in countries including France, the U.K. and Germany and is currently expanding their business in Luxembourg.

They are looking for a Legal and Compliance officer to join their team and report directly to the Legal and Compliance Manager.


The tasks:

  • Assisting in tasks as well as coordinating projects
  • Managing a portfolio of clients with all aspects of the corporate administration of domiciled companies
  • Convening, organising and coordinating board and shareholders' meetings and acting as secretary
  • Preparing minutes for the regular and standard board and shareholders' meetings
  • Handling all requests for Powers of Attorney and liaising with local Notary as required
  • Preparation and execution of legal documentation relating to investments held in EU
  • Co-ordination of the documentation process for establishing new legal entities and liquidating existing ones, as appropriate
  • Liaising with the regular tax and legal auditors and advisers of the group
  • Organising & coordinating the approval and filing of financial statements for Luxembourg and other jurisdictions
  • Coordinating archives of the group entities
  • Updating corporate files of the group entities with respect to the articles of association, copies of resolutions, minutes of shareholders’ meetings, official registrations, copies of annual accounts, shareholders’ registers, etc.
  • Preparing and filing all requisite filings with the Luxembourg Trade and Companies Register as well as any other legal publications
  • Collecting signatures of directors
  • Loan agreements – drafting, organising signatures and relevant board approvals

The profile:

  • A minimum of 2+ years of experience in a similar company in Luxembourg
  • An academic degree in law, finance or economics would be highly desirable
  • Fluency in English. Any other European language is an asset
  • Excellent oral and written communication skills
  • Highly analytical with strong attention to detail
  • Proficient user of MS Office
  • Excellent organisational skills
  • Team player
  • Goal oriented and hands-on mentality
