The Role:
- Manage day-to-day company secretarial operations of the entities.
- Manage the relationship with service providers for corporate administration and KYC
- Oversee various company secretarial transactions (e.g. incorporation, liquidation, share allotment, capital reduction, change of directors, amendment of articles of association, power of attorney, loan notes etc.) to include preparation and/or review of the necessary corporate approvals, Companies House filings, statutory registers updates etc.
- Oversee all statutory and ad-hoc filings, adhering to jurisdictional requirements, and guarantee the prompt payment of relevant fees.
- Manage RCS/RBE filings, annual account approvals, and engage with external stakeholders such as notaries, lawyers, and administrations.
- Proactively arranging a regular review (healthcheck) of the entities’ records.
- Coordinate ongoing monitoring of Know Your Customer / Client Due Diligence including coordinating the requests from the Transfer Agent
- Coordinate Board of Directors and Shareholder meetings.
- Supervise the timely and precise preparation of meeting minutes by the service providers, encompassing the production, distribution, and tracking of all action points.
- Organize and maintain filing systems, ensuring proper storage of information, and regularly updating databases.
The Profile:
- Require a minimum of 5 years of experience in a comparable role or its equivalent.
- Possess robust analytical, communication, and organizational skills, both in verbal and written forms.
- Demonstrated agility and the ability to adapt quickly.
- Possess a solid understanding of laws and regulations relevant to funds and Luxembourg commercial companies.
- Proficient in English; French and/or Spanish are a plus.
