Our client, a prestigious American-origin PSF based in Luxembourg, is seeking a Legal Counsel to join a team within their corporate department. The successful candidate will be responsible for managing and overseeing all corporate aspects and documentation required for the day-to-day operations of the Luxembourg investment platform. This position offers a stimulating and multicultural environment within the heart of Luxembourg's financial sector.

Legal Counsel - Your responsibilities will include:

  • Supervision of the corporate team, currently composed of 1 corporate assistant and 1 paralegal.
  • Organizing and managing the board meetings' schedule held at the registered office.
  • Drafting minutes of board meetings held at the registered office.
  • Drafting and managing legal documents related to the incorporation, liquidation, AGMs, EGMs, shareholders & notes registers, etc.
  • Drafting legal documents for the appointment or resignation of managers.
  • Drafting intercompany funding documentation.
  • Ensuring the execution and follow-up of corporate documents with relevant parties.
  • Managing and filing required documents with the Luxembourg Trade and Companies Register and the Luxembourg Register for Beneficial Owners.
  • Coordinating with the team, external parties, and notaries to execute and deliver legal documents (e.g., extracts of trade registry or BO registry), ensuring proper legalization and keeping corporate records up to date.
  • Assisting with AML/KYC requests and the opening of bank accounts.
  • Maintaining and managing corporate document filings of original documentation both in hard copies and electronically.
  • Performing any other necessary duties connected with the aforementioned tasks.

Legal Counsel - To succeed in this role, you must:

  • Have at least 5 years of professional experience in legal, company secretary, or corporate matters in Luxembourg.
  • Demonstrate strong communication skills in English (both written and verbal), with French being an asset.
  • Possess excellent organizational skills and be a self-starter with a high sense of responsibility.
  • Be a service-focused team player, with a high degree of integrity and commitment to excellence.
