Position Description

As part of the growth of our European activities we are looking for an Associate to join our Investment Structuring Management (‘ISM’) Luxembourg team. As part of this dynamic team you will have a diversified portfolio of responsibilities and will work closely with a variety of internal and external stakeholders. Reporting to the ISM Director / head of Luxembourg and working closely with other members of a small team you will be involved in both corporate and investment related activities and will be a key member of our centralized center of excellence, executing the day to day activities of the investment management function with a local and global scope of responsibilities. Be part of a high-performing team. Immediate priorities include (but are not limited to):

Board activities support:

  • Lead the efforts in coordination and preparation for internal board meetings.
  • Take responsibilities for all pre and post meetings actions including logistics, minutes, follow up items and any other board related activities.
  • Provide support to local management on external board mandates and activities.
  • Regularly attends board and sub-committee meetings.
  • Prepare well for meetings, review materials, draft minutes and suggest agenda items & questions.
  • Opine on board contents and processes, contribute to evolution of board’s best practices.
  • Keep track of board meetings items and ensure compliance with internal and external requirements.
  • Advise and follow up on key discussions, build relationship with board meetings stakeholders with the aim to foster an environment where board activities are managed as efficiently as possible.

Shareholder matter management:

  • Manage ongoing shareholders activities for a diversified portfolio of assets.
  • Coordinate execution of all shareholders matters in a timely manner.
  • Organize shareholder matters oversight function and controls.
  • Build and maintain relationship with internal and external stakeholders involved with shareholders matters

Legal administration and compliance support:

  • Take responsibility for all corporate secretarial administration activities of our Luxembourg structures.
  • Assist with legal docs, resolutions, minutes, board material, registers etc. ensuring legal books and register are well maintained and up to date.
  • Coordinating shareholders' meetings and drafting resolutions.
  • Take responsibility for external and internal compliance deliverables.
  • Maintain ongoing operational activities of wholly owned CPP investments entities to ensure compliance with local legal and regulatory requirements.

Transactional activities support:

  • Be part of a team that coordinate transactional processes and get actively involved in pre closing and closing work streams.
  • Help prepare pre closing files and tools and ensure adequate documentations is produced to support each key steps of the funding process.
  • Provide support and advice to the various structuring workstreams for new investments.
  • Coordinate the preparation and review of transactional documentation, together with internal partners and external advisors.
  • Coordinate with local and external colleagues as well as key external partners to ensure a smooth execution of closing and funding activities

Position Requirements

  • Ideal candidate has at least 5 years of experience in a Private Equity or Real Estate firm or in a similar position, as well as a good knowledge of Luxembourg company law.
  • Highly organized and rigorous the ideal candidate is enthusiastic about problem solving, solutions oriented and comfortable dealing with complex and fast-moving transactions. You must be a self-starter who works well under pressure. You must have strong interpersonal and business relationship skills and enjoy working across Core Services and the Investment Departments.
  • Proficient in English and French, any other language is an advantage
