Responsibilities:
  • Performing corporate secretarial tasks for roughly 1,000 Luxembourg companies (including, but not limited to, quarterly board meetings, corporate changes, drafting of agreements, audit processes’ support, shareholder registers’ updates);
  •  Performing the legal drafting and coordination of the incorporations of roughly 200 Luxembourg companies per year;
  • Coordinating the communications and monitoring the clearance of legal blocking points towards the liquidation of roughly 200 Luxembourg or other Europe based companies per year;
  • Assisting in or fully handling the shareholding and corporate restructurings as needed;
  • Contributing to regular regulatory reporting under EU Law, such as DAC6 and performing the depository reporting as needed;
  • Cooperating with internal Departments, as well as external asset management, legal, tax and other advisors on domestic and cross-border corporate or real-estate transactions;
  • Actively participating in the numerous initiatives and trainings of the Legal & Compliance team;
  • Using various tools or databases towards the digitisation of the documentation and data maintenance.
Qualifications:

What You Bring To The Role

 

  • 2-4 years experience in a legal/corporate department of a fiduciary/law firm/in house legal or corporate position in Luxembourg or equivalent;
  • Experience of implementing and documenting corporate changes such as changes to share capital, directors and shareholders;
  • Experience dealing with the Luxembourgish RCS;
  • Experience of board meeting organisation;
  • Knowledge of the corporate governance framework in Luxembourg;
  • Fluent in English, any other language will be an advantage (especially German or French);
  • Excellent communication, collaboration and organisational skills;
  • Total proficiency with MS Office standard applications;
  • Experience working with and maintaining strong professional links with lawyers, auditors, notaries, service providers;
  • Ability to work independently as well as be a team player;
  • Able to take direction and ask questions;
  • Attention to detail;
  • Resourcefulness and flexibility.
