Reporting to the Head of Luxembourg Company Secretariat, you will join a team and have the responsibility of providing governance advisory and company secretarial services to ensure the correct operation of the Luxembourg-domiciled funds and companies within Luxembourg law and regulations, and to enhance the corporate governance framework in an efficient and effective manner.
The role will also involve working closely with other international entities including legal, fund accounting, compliance, finance and product development, as well as external advisers.

Your Responsibilities
* Act as a primary point of contact and source of advice and guidance for directors as regards the relevant entities and their activities in order to support the decision-making process
* Advise directors and officers on their duties, relevant company law, the constitution, governance codes and other regulatory and statutory requirements and obligations
* Set up agendas, co-ordinate and prepare information to Boards and Board Committees and advising on Board procedures - organise and attend all relevant Board and Board Committee meetings, acting as governance advisor to Boards and their Committees
* Prepare minutes of Board and Board Committee meetings.
* Ensure that the decisions taken by the Boards and their Committees are communicated to the management in a timely manner
* Work with the Chair and executive management to implement changes resulting from the evaluation recommendations
* Maintain the companies' books and records
* Ensure corporate registrations and filings are carried out within the required timelines
Your Profile
* A minimum of 7 years of experience as a corporate secretary
* A solid knowledge of the local laws and regulations (ideally through a current experience)
* A good understanding of the Luxembourg mutual fund business, especially linked to Chapter XV management companies.
* Perfectly fluent in English (spoke and written), the knowledge of French and/or German would be considered an asset
* Organised, autonomous, client focused with excellent interpersonal and communication skills
