Our client is a dynamic Investment Funds with an international presence. They are looking for their futur Head of Legal Departement with a large range of responsibilities : Corporate, Compliance, and occasionally M&A.

Our client is a dynamic Investment Funds with an international presence.
Missions
Reporting directly to the CEO of Luxembourg, you manage the Legal department having the following responsibilities :
1. Corporate
- organize the Boards' and Committees' calendar, the Board papers, and write minutes
- organize the Conducting Officers Committees' papers and write minutes
- organize the general assemblies' papers and write minutes
- update the shareholders and bondholders register
- update the legal group chart
- manage the relationship with the depositary bank in terms of corporate matters
- manage the subsidiaries in terms of corporate matters
- update the list of mandates of each Board member
- prepare the declarations of economic beneficiaries
- manage the team
2. Compliance
- implement the annual control plan
- monitor the regulatory changes, with exchanges with local authorities (CSSF, BCL, tax administration...) and advisers
- update the manual of procedures and the policies of the AIFM
- manage situations of conflicts of interests
- manage potential complaints from investors or other stake holders
- follow and ensure the training of the AIFM employees
- prepare the communications with the CSSF
- prepare reporting packs (compliance, risk management…)
- conduct diligences on Anti-Money Laundering and Counter Financial Terrorism
3. Transactions
- review the documentation related to investments/ disinvestments (NDAs, engagement letters, offer letters, other documentation), prepared by Paris' legal team, and make them executed
- ensure that the company fills out and submits all its legal paperwork
Profil du candidat
You have at least an experience of 8 years, currently as Legal Counsel or Head of Legal in an AIFM, or in a Law firm or a Financial Services dealing with Funds.
