Greenfield is very happy to assist our client, a leading independent third-party Fund Management Company, in the search of a Senior Legal Counsel.

You will be contributing to the legal activities linked to various types of investment funds (UCITs mainly and some AIFs, non-regulated). You will maintain a strong relationship with all relevant stakeholders, including investment managers, supervisory authority, external legal counsel to achieve an agreement on the contracts. You will need to have a strong experience in drafting and filing prospectuses with the CSSF and be the point of contact for all submissions.

Your role:

• Drafting and filing prospectuses with the CSSF and be the point of contact with the CSSF for prospectus submissions.
• Drafting, review and negotiation fund agreements (incl. financial services contracts, investment fund prospectuses, memoranda, legal publications for both UCITS and alternative fund structures).
• Reviewing and negotiating a wide variety of commercial agreements.
• Taking the legal lead on client calls.
• Participating in regulatory projects impacting the management company and the funds managed by the management company.
• Providing general legal and regulatory advice on applicable laws and regulations.
• Managing relationships with law firms.
• Other ad-hoc responsibilities as they may arise.

Your profile:

• University degree in law
• As of 3 to 4 years relevant experience in the field of investment funds
• Very good experience with CSSF filing
• Good knowledge of the European legal and regulatory environment concerning investment funds.
• Open-minded, dynamic, flexible and capable of working in a team in an organised and independent manner.
• Proficiency in MS Office.
• Fluency in English, both written and spoken. French is required on a professional level.
